Terms and Conditions

Please read these Terms and Conditions ("Terms") carefully before using the HelperLogs platform (the "Service"), operated by HelperLogs ("we", "us", or "our"). By registering for or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

By creating an account, accepting an invitation, or otherwise accessing the HelperLogs platform, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and agree to comply with these Terms and all applicable laws.

2. Description of Service

HelperLogs is a SaaS logistics management platform that enables companies ("Company Administrators") to create and manage delivery manifests, invite and manage field agents ("Agents") and delivery runners ("Runners"), track real-time delivery progress via GPS, and review runner identity verification submissions. The platform is provided via a web dashboard and a mobile application.

3. User Accounts and Roles

The following user roles exist on the platform:

  • Platform Administrator: HelperLogs personnel responsible for managing companies, subscriptions, and runner identity verification.
  • Company Administrator (Admin): A company account holder responsible for managing agents, runners, manifests, and company settings.
  • Agent: A user invited by a Company Administrator to create and manage manifests and interact with runners.
  • Runner: A delivery operative invited to the platform who completes delivery manifests assigned to them.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any suspected unauthorised access.

4. Identity Verification

All Runner accounts are required to pass identity verification before their account is activated. This involves submitting a valid government-issued photo identification document and a selfie. Submission of false or misleading documentation is strictly prohibited and may result in permanent account suspension and referral to relevant authorities. HelperLogs reserves the right to decline or revoke verification at its sole discretion.

5. Subscriptions and Payment

Access to certain features of HelperLogs requires an active paid subscription. Subscription fees are set out in the applicable plan selected at the time of registration or upgrade. Fees are non-refundable except where required by applicable law. HelperLogs reserves the right to change subscription pricing with reasonable prior notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful, fraudulent, or abusive purpose.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Upload or transmit viruses, malware, or any other harmful code.
  • Attempt to gain unauthorised access to any part of the Service, its servers, or any related systems.
  • Reverse-engineer, decompile, or disassemble any component of the Service.
  • Use the Service to collect or harvest personal data of other users without their consent.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Resell, sublicense, or commercially exploit the Service without our prior written consent.

7. Runner Obligations

Runners using the HelperLogs platform agree to:

  • Provide accurate and up-to-date personal and identity information.
  • Enable location services on their device during active delivery sessions as required by their company.
  • Complete assigned manifests in a professional and timely manner.
  • Comply with all road traffic laws and regulations applicable in their jurisdiction.
  • Not share their account credentials with any other person.

8. Company Administrator Obligations

Company Administrators agree to:

  • Use the Service only for lawful business purposes.
  • Obtain any necessary consents from their employees or contractors before inviting them to the platform.
  • Maintain an active subscription to continue using the Service.
  • Ensure that any personal data of runners and agents processed through the platform is handled in accordance with applicable data protection laws.
  • Not misuse the GPS tracking or runner management features.

9. Location Tracking

By using the Runner mobile application, you consent to the collection and processing of your GPS location data during active delivery sessions. This data is used for delivery tracking and operational purposes and is not used for advertising or sold to third parties. You may withdraw consent by disabling location permissions on your device; however, this may prevent you from fulfilling delivery assignments.

10. Intellectual Property

All content, features, trademarks, and technology comprising the HelperLogs platform are owned by or licensed to us and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for its intended purpose. No other rights are granted.

11. Third-Party Services

The Service may integrate with or link to third-party services (such as mapping providers or payment processors). We are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is governed by their respective terms and policies.

12. Disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

13. Limitation of Liability

To the fullest extent permitted by applicable law, HelperLogs and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising from these Terms shall not exceed the total fees paid by you to us in the twelve months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless HelperLogs and its affiliates, officers, directors, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of another person or entity.

15. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for any violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service will immediately cease. You may also delete your account at any time by contacting us.

16. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time with reasonable notice. We may also update these Terms from time to time. The updated Terms will be posted on our website with a revised effective date. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which HelperLogs is incorporated, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and HelperLogs with respect to the Service and supersede all prior or contemporaneous understandings, agreements, or communications, whether written or oral, relating to the subject matter hereof.
